These Terms & Conditions ("Terms") govern your use of https://kyorix.com/ and the services provided by Kyorix ("we", "us"). By using our website or engaging us for services you agree to these Terms.
Our services
We provide digital services including software, website and app development, WordPress and Shopify work, design, automation, SEO, marketing and cloud services. The scope, deliverables, timeline and price for each project are set out in a written proposal, quote or agreement ("Project Agreement").
Project briefs and proposals
Submitting a project brief or budget through our website is a request for a proposal and does not create a binding contract. Estimates shown in the booking form are indicative only. A contract is formed when you accept our written proposal and any required initial payment is made.
Fees and payment
- Fixed-price projects are invoiced as set out in the Project Agreement, typically in milestones.
- Hourly work is invoiced for time actually worked, as agreed in the Project Agreement.
- Invoices are payable by the due date shown. We may pause work on overdue invoices.
- Third-party costs such as hosting, domains, plugins, stock assets and advertising spend are not included unless stated.
Client responsibilities
You agree to provide timely feedback, content, access and approvals, and to ensure you have the rights to any materials you supply. Delays in providing these may affect timelines and costs.
Revisions and changes
Each project includes the number of revision rounds stated in the Project Agreement. Requests that go beyond the agreed scope are treated as change requests and may be quoted separately.
Intellectual property
Subject to full payment, ownership of the final deliverables created specifically for you transfers to you. We retain ownership of our pre-existing tools, frameworks, code libraries and know-how, and grant you a licence to use them as part of the deliverables. Third-party components remain subject to their own licences. We may display completed work in our portfolio unless you ask us not to.
Confidentiality
Each party agrees to keep the other's confidential information private and to use it only for the project, except where disclosure is required by law.
Warranties and disclaimer
We perform services with reasonable skill and care. Except as stated in a Project Agreement, our website and services are provided "as is" without warranties of any kind. We do not guarantee specific business results, search-engine rankings, traffic or sales.
Limitation of liability
To the fullest extent permitted by law, Kyorix will not be liable for indirect, incidental or consequential damages, loss of profits or data. Our total liability for any claim relating to a project is limited to the fees paid for that project.
Termination
Either party may end a project as described in the Project Agreement and our Refund & Cancellation Policy. You will pay for work completed up to the date of termination.
Acceptable use
You agree to use our website and services in line with our Acceptable Use Policy.
Governing law
These Terms are governed by the laws applicable in the jurisdiction in which Kyorix is established, without regard to conflict-of-law rules. Disputes will first be addressed in good faith between the parties.
Changes to these Terms
We may update these Terms from time to time. The "Last updated" date shows the latest revision. Continued use of the website or services after changes means you accept them.
